1. Acceptance of Terms
By accessing and using the services provided by LeadClose ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of the terms, do not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service.
2. Description of Service
LeadClose provides a software-as-a-service (SaaS) platform that enables businesses to use the official WhatsApp Business Platform for marketing, sales, and support. Features include, but are not limited to, a shared team inbox, voice calling capabilities, campaign management, customer relationship management (CRM), and automation tools.
3. User Accounts
To use the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account. You agree not to disclose your password to any third party.
4. User Responsibilities and Conduct
You are solely responsible for your conduct and any data, text, files, information, images, graphics, photos, profiles, audio and video clips, sounds, musical works, works of authorship, applications, links, and other content or materials that you submit, post, or display on or via the Service ("Your Content").
You agree that you will not post, upload, publish, submit or transmit any content that: (i) infringes, misappropriates or violates a third party’s patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy; (ii) violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability; (iii) is fraudulent, false, misleading or deceptive.
Compliance with WhatsApp Policies
A core part of using our Service is your compliance with all policies set forth by Meta for the use of the WhatsApp Business Platform. You agree to adhere to, and are solely responsible for compliance with, the WhatsApp Business Messaging Policy and the WhatsApp Commerce Policy. Violating these policies may result in Meta suspending or terminating your WhatsApp Business Account, for which LeadClose is not responsible.
5. Fees and Payment
Some parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the subscription plan you select. You are also responsible for all conversation-based fees charged by Meta, which we will bill to you as a pass-through cost.
6. Termination
We may terminate or suspend your access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.
7. Limitation of Liability
In no event shall LeadClose, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.
8. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
